Meet Tobias

“Elemental manages the books and records of over 40 of our companies. As a group operating in the financial services sector, the expertise and rigour provided by Tobias and his team over the past 18 months has been invaluable in navigating a highly regulated environment. Knowing that our compliance requirements are covered whilst also being able to pick up the phone for more complicated governance and legal advice has been a real help.”

FAQ

Have questions? We’re here to help

Do you charge a setup or onboarding fee?

No. We don’t charge a fee just to setup a client. However, If you require the company’s entire history to be uploaded there will be an additional fee, this will also be the case if the company’s records need to be rebuilt or if the records are particularly complex. In this instance, we will notify you as soon as possible and work to keep these fees to a minimum. We do not charge for companies we have incorporated.

What other compliance related services can Elemental assist with?

In addition to the support included in the fixed fee annual compliance service, we can also:

  • Perform corporate re-organisations
  • Issue new classes of shares
  • Execute changes to share structures
  • Attend board and/or shareholders meetings
  • Draft bespoke articles of association
  • Prepare of board and shareholder notices and produce meeting minutes
  • File end of year accounts
  • File dormant accounts
Can you help reconstitute the statutory books?

If the company records have not been properly maintained or there are gaps in the records we can rebuild the history for you. The work will be carried out on a time spent basis and we can provide a quote before commencing work.

Do you offer a discount for group or multiple companies?

Yes. We manage the statutory books for large groups of companies including in the financial services, energy and real estate sectors. If you operate a group structure please get in touch with more details and we would be happy to help.

What’s the benefit of a named company secretary?

A named company secretary is an optional feature of the annual compliance service. The company secretary will be able to sign certain documents on behalf of the company if desired. This can simplify administrative processes and avoid director and shareholder signatures appearing on the public record.
