Nick Lindsay

Managing Director

Nick is the founder and Managing Director and also works across our Governance and Company Secretarial teams. He is an experienced corporate lawyer and a Fellow of the Chartered Governance Institute.

Prior to founding Elemental, Nick worked at Olswang (now part of CMS) with a focus on Technology, Corporate and Tax. He has also worked in-house at BBC Worldwide, and later at Visa Europe where he advised on their initial contract with Apple for Apple Pay.

During his time in practice and client side, Nick experienced first-hand the gap in the market to offer leading law firms and their busy clients best-in-class support for ongoing compliance and the value this could add.

At Elemental, Nick supports a range of clients including HM Treasury, Osborne, McCourt Global, Nova Entertainment, Greenberg Traurig, and an Ontario Teachers’ Pension Plan fund. His work focuses on corporate and governance advice for international groups, large private companies and listed companies.

Highlights

• Ontario Teachers’ Pension Plan/Mesoamerica: The Ontario Teachers’ Pension Plan is a global pension fund with over $200bn in net assets. The OTPP is the lead investor in a fund managed by Mesoamerica (the fund manager). Nick is a director of the UK holding and investment company for the fund and has overseen all of the UK compliance for the fund since 2015.
• Nova Entertainment: Nova Entertainment is an Australian entertainment company with broad interests across the media industry. The media group is ultimately owned by Lachlan Murdoch, via Ilyria Pty Ltd. Nick is a director of four group entities resident in the UK and helps oversee their UK operations.
• InnovaDerma plc is a London Stock Exchange listed company delivering high-performance products across beauty, personal care, and life sciences. Nick has supported InnovaDerma since they first entered the UK in 2014, initially with a listing on the Euronext market before the company moved to the main market of the LSE.
• Pearl Group: Nick acted for the SPAC that acquired Pearl Group in a deal valued at US$6.7bn, being one of the largest deals of 2009.
• McCourt Global: McCourt Global is the investment office of Frank McCourt and Nick is a director of their UK companies and oversees all UK compliance for these entities, including an investment in a global sporting franchise.
• HM Treasury: Nick is the relationship manager for HM Treasury and manages the compliance for HM Treasury UK Sovereign Sukuk plc. In 2021, the Sukuk launched the second issuance of £500m. Please see here for more information.
